[BOB] runs through the current financial position of the club - See http://www.ucc.asn.au/infobase/policies/constitutionchanges.ucc - $50,000 in term deposit with Westpac, will mature in around March 2011 - $246 a month interest, going into the Westpac - $3,200-ish in Guild - Westpac balance approximately $1,400 - Current bills are only $22 a month - SOC grants, coke money etc coming in as well 1 Reaffirmation of life members upon incorporation - Continuation of the life memberships for all life members after incorporation - Dr ACC Murphy added to the list - Reaffirmation will be a condition of incorporation - [BOB] motions for the reaffirmation - [DAA] seconds - Unanimous. 2 [BOB] runs through the changes to the constitution - In addition to the changes given in the draft constitution presented at the meeting, the following changes were made: - Section 23.2, omit the sentence "The trustees of the Club shall be the Executive". - Policy vs Amedment changes, 50% for standard motions, 75% for everything else - Under definitions - Financial year, remove everything before the first 'a period' [482] departs. [BOB] motions to incorporate as "The University Computer Club Inc.", subject to approval by the UWA Guild Statutes Committee - [DJA] lists cons: need for better record-keeping, Constitutional changes need to be reported to another body (and a fee paid), and we take a step "out from under the Guild's wing." - Committee's liability is fairly serious, though less than previously. Members cease to be liable for the debts of the club. - [LOL] seconds, 13 for, 1 against, 1 abstain. Motion passed. [SJY] departs. Investments section as a policy rather than in the constitution - In constitution it is protected by 75% majority to pass, also need to notify the department of commerce for changes. - In policy, needs two-thirds majority, no notification to the department of commerce. - 23.2 of new constitution, "Except as otherwise provided for in the Constitution, or in a policy, any two of the Executive..." - [DJA] moves to amend this, [AHC] seconds. 12 for, 2 against, 1 abstain. Motion passed. - 25.2 in the new constitution, change to a "Creation, modification, or removal of policy shall require written notice and shall only be passed by special resolution at a General Meeting" - [DJA] seconds, [AHC] seconds. 12 for, 1 against, 1 abstaining. Motion passed. - [LOL] moves that investment sections stays in the Constitution, [BOB] seconds. - [JCF] raises a procedural motion to move to vote. Motion passed. - For the motion, 1 for, 11 against, 2 abstain. Motion fails. - Investment section becomes policy - [DAA] moves to delete the first paragraph of the proposed policy, [MST] seconds - 12 for, 2 against. Motion passed - [MRD] moves to adopt the policy as amended. - [DAA] seconds. - [DAA] requires to vote as secret ballot. - Motion passes. [DJA] moves that the constitution as amended be adopted subject to the approval of the UWA Guild Statutes Committee and the Department of Commerce. - [AHC] seconds. - 14 for, 1 abstain. If required by the Guild Statutes Committee, add that members must comply with the Guild Statute Book. - [MRD] motions to include the paragraph "All members must comply with all provisions relating to affiliated societies included in the Guild Statute Book" in the membership section, section 7 in the new constitution, regardless. - [LOL] seconds. - 14 for, 1 abstain.
